The combination of SpringSoft's and Synopsys' verification technology portfolios will accelerate delivery of a unified SoC debug environment
US based chip-design software developer, Synopsys has signed an agreement to acquire Taiwan's SpringSoft, a supplier of specialised IC design software, for approximately $406m.
SpringSoft has expertise in electronic design automation technology for chips and systems and the products developed by the company helps engineers in the design, verification and debugging processes.
Synopsys said the acquisition will complement company's technology portfolio and help in delivery of SoC debug and custom implementation tools to customers.
Synopsys president and co-CEO Chi-Foon Chan said the acquisition will increase Synopsys' investment in Taiwan by growing its local engineering expertise, technology development capabilities and customer support.
"Combining SpringSoft's team and platform with Synopsys' complementary technology will help Synopsys lead further innovations in debug to more rapidly address the growing verification challenge," Chan said.
"Simultaneously, SpringSoft's innovative custom implementation solution and its strong presence in leading Asian, European and U.S. semiconductor companies will help accelerate Synopsys' delivery of automation and innovation to an area of IC design that has been stagnant in the past."
Under the agreement, Synopsys Taiwan will acquire all of the outstanding shares of SpringSoft for approximately $1.90 per share in cas and Synopsys will pay about $305m in cash.
The acquisition is expected to close in the first quarter of 2013.
