Borgwarner Agrees to Purchase All Shares

American auto-parts manufacturer BorgWarner has entered into an agreement to purchase all shares in C and its general partner.

Gustav Wahler is a producer of exhaust gas recirculation (EGR) valves, EGR tubes and thermostats with locations in Germany, Brazil, the US, China and Slovakia. It offers its products to Daimler, Volkswagen, BMW, GM and John Deere.

The deal is subject to standard regulatory approvals and expected to close in the first quarter of 2014. Terms of the deal were not disclosed.

This transaction will strengthen BorgWarner's participation in the rapid adoption of EGR technology by combing its existing EGR valve and EGR cooler businesses with Wahler's EGR valve technology.

Wahler's thermostat technology will also enhance BorgWarner's capabilities in thermal management.

BorgWarner president and CEO James Verrier said: "The acquisition strengthens BorgWarner's strategic position as a producer of complete EGR systems and creates additional market opportunities in both passenger and commercial vehicle applications."
